User Agreement

This User Agreement ("Agreement") is between you and Simpech("we", "us", "our") for the use of Simpech's virtual classroom services ("Services"). By clicking "Join Now", "Sign Up", or similar actions, registering, accessing, or using any of Simpech's Services, you agree to comply with and be bound by the terms of this Agreement. If you do not agree to these terms, do not use the Services.

1. Contract

By clicking "Join Now", "Sign Up", or similar, or by registering, accessing, or using the Services, you agree to enter into a contract with Simpech. If you do not agree to this User Agreement, you should refrain from accessing or using any Services. You may terminate this Agreement at any time by closing your account and ceasing to use the Services.

2. Service Eligibility

The Services are designed to connect users for educational purposes. You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. Users should maintain only one Simpech account under their real name. You may not be restricted from using the Services under any other agreement with Simpech. You are prohibited from using the Services for illegal activities, harassment, exploitation, or any other misuse described in the Acceptable Use Policy.

3. Acceptable Use Policy

You agree to use the Services solely for lawful purposes and in a manner that does not harm Simpech or others. Prohibited activities include, but are not limited to:
  • Posting, streaming, or transmitting content that violates any law or regulation.
  • Engaging in exploitation, harassment, or offensive behavior.
  • Facilitating or supporting terrorism, trafficking, or criminal activity.
  • Engaging in fraudulent or deceptive activity.
  • Collecting personal data of others without consent.

Simpech reserves the right to suspend or terminate accounts that violate these terms. Users who become aware of any violations are encouraged to report them to hello@simpech.com.

4. Service Availability

Simpech reserves the right to modify, suspend, or discontinue the Services at any time. Service modifications may include, but are not limited to, the introduction of fees for previously free services or changes in service features.

6. Fees & Payment

Simpech charges fees for certain Services, including subscription fees, one-time payments, or other charges. You agree to pay all applicable fees and charges associated with your use of the Services. If you fail to pay, Simpech may suspend or terminate access to your account. Simpech may change its pricing model from time to time. If pricing changes, Simpech will provide prior notice. Users may cancel subscriptions at any time, but no refunds will be issued for periods already billed, except within a 7-day grace period.

6. Reasonable Use

Simpech expects users to engage with the Services reasonably. Excessive or inappropriate use, including excessive session lengths, multiple hosts using one account, or disrupting service for others, may result in limitations or termination of access. Simpech may monitor usage patterns and take necessary actions to ensure compliance.

7. Content Rights

Users retain ownership of content they upload to the Services, but by uploading or creating content, you grant Simpech a worldwide, royalty-free, non-exclusive license to use, display, reproduce, and distribute that content solely for providing the Services. Simpech may edit or format content but will not alter its meaning.

8. Communication

By using Simpech's Services, you agree to receive communications from us via email, SMS, or other channels related to account activities, service updates, promotions, and support.

9. Member Disputes

You are responsible for resolving any disputes with other users. Simpech is not obligated to intervene in such disputes but reserves the right to do so if necessary, in its sole discretion.

10. Termination

Simpech may terminate or suspend your account at any time for any reason, including violations of this Agreement or the Acceptable Use Policy. You may also terminate your account by contacting Simpech's support team. Upon termination, all rights granted to you will cease, and you must immediately stop using the Services.

11. Repeat Infringer Policy

Simpech adheres to a strict policy regarding intellectual property rights. Users who repeatedly infringe on the intellectual property rights of others may have their accounts terminated or restricted, in accordance with applicable laws, including the Digital Millennium Copyright Act (DMCA).

12. Disclaimer and Limitation of Liability

Simpech provides the Services "as is" without any warranty. We do not guarantee that the Services will be uninterrupted, secure, or error-free. To the fullest extent allowed by law, Simpech and its affiliates disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Simpech is not liable for any indirect, incidental, consequential, or punitive damages. Our total liability, in connection with this Agreement, will not exceed the total amount paid by you for the Services during the 12 months prior to the event giving rise to the liability.

13. Data Protection

Simpech will collect and use personal data in accordance with our Privacy Policy. You agree to provide accurate, complete, and up-to-date information and to comply with all applicable data protection laws.

14. Indemnification

You agree to indemnify and hold Simpech harmless from any claims, losses, or damages arising from your violation of this Agreement, misuse of the Services, or infringement of any third-party rights.

15. Miscellaneous

  • Severability:If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • Assignment: You may not assign or transfer your rights under this Agreement without prior written consent from Simpech.
  • Entire Agreement: This Agreement constitutes the entire understanding between the parties regarding the subject matter and supersedes all prior agreements.
